Welcome to Cynitek. These Terms of Engagement (“Terms,” “Agreement”) constitute a binding legal architecture between Cynitek. (“we,” “us,” “our,” or “Engineers”) and the entity or individual initiating a technical deployment profile (“Client,” “you,” “your”).
By initiating a technical briefing, executing a project proposal, or utilizing our technical SEO and search optimization infrastructures, you unconditionally accept and agree to follow these operational protocols.
I. Scope of Deployment & Service Provision
Cynitek. provides enterprise-grade digital architecture development, Search Engine Optimization (SEO), Answer Engine Optimization (AEO), Generative Engine Optimization (GEO), custom semantic schema engineering, and technical Webflow optimization.
- Project Specifications: The exact deliverables, sprint timelines, capital scale requirements, and engineering tasks will be explicitly defined in an independent, mutually executed project proposal or statement of work (SOW).
- Execution Adjustments: Any deviations, additions, or modifications to an active deployment scope must be requested in writing and may alter the required timeline and capital resources.
II. Client Cooperation Tiers
To achieve absolute search engine dominance, our systems require timely asset delivery and data synchronization.
- Asset Provision: You agree to provide all necessary digital assets, corporate data, domain access credentials, and technical copy within the timelines specified in your project plan.
- Delays & Stalls: Cynitek. is not responsible for missed deadlines or execution failures resulting from a client's failure to provide access tokens, feedback protocols, or mandatory technical data assets.
III. Financial Protocols & Capital Tiers
- Payment Schedules: Client agrees to fulfill all capital requirements according to the payment milestones outlined in the specific project statement of work.
- Retainers & Subscriptions: Recurring architectural maintenance or optimization retainers are billed in advance on a monthly cycle.
- Late Payments: Failure to fulfill financial milestones within thirty (30) days of invoice generation authorizes Cynitek. to pause all active server deployments, hide active staging nodes, and halt search optimization streams until the account is brought to a zero balance.
IV. Intellectual Property Architecture
- Proprietary Engineering: All core code frameworks, automation scripts, semantic data routing strategies, nested schema templates, and proprietary SEO, AEO, and GEO indexing methodologies developed or utilized by Cynitek. prior to or during the engagement remain the exclusive intellectual property of Cynitek.
- Client Assets: Client retains absolute ownership over all raw copy, trademarks, branding layouts, and specific business data assets delivered to us for integration.
- Final License: Upon full settlement of all outstanding financial obligations, Cynitek. grants the Client a non-exclusive, perpetual, worldwide license to utilize the finalized front-end web architecture deployed on their target domain (
cynitek.com or respective client domains).
V. Operational Warranties & Performance Boundaries
- Engine Realities: The client acknowledges that traditional search engine algorithms (SEO), Large Language Model weights, vector semantic parsers, and indexing protocols (including Google AI Overviews, Perplexity, Gemini, and OpenAI search modules) are controlled by independent third parties.
- No Guarantees: While Cynitek. deploys elite machine-intelligence engineering tactics, we do not guarantee specific fixed ranking numbers or definitive inclusion metrics, as search ecosystems evolve dynamically.
- Limitation of Liability: To the maximum extent permitted by applicable law, Cynitek.’s total liability for any structural failures, site downtime, or indexing adjustments shall not exceed the total capital paid by the Client to Cynitek. during the immediate three (3) months preceding the incident.
VI. System Disconnection & Termination
Either party may terminate a project protocol or ongoing retainer engagement upon thirty (30) days written notice if:
- The other party commits a material breach of these Terms and fails to correct it within fifteen (15) days of receiving an official system alert.
- The Client decides to cancel a project mid-sprint. In this event, the Client remains legally liable for all hours worked and milestones achieved up to the official point of termination.
VII. Governing Law & Dispute Resolution
This agreement and all technical engagements are governed exclusively by the laws of your primary operating state or country, without regard to conflict of law principles. Any legal disputes arising out of these protocols must be handled through binding, confidential arbitration prior to filing any open court claims.
